These Terms of Service (“Terms”) govern your access to and use of the services, websites, APIs, and applications offered by RelayDocs LLC (“RelayDocs”, “we”, “us”, or “our”). By accessing or using our platform, you agree to be bound by these Terms.

If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

RelayDocs provides document automation and delivery solutions, enabling users to send documents via print, email, SMS, or other channels through APIs or workflow tools. These services are designed for regulated industries where secure, compliant delivery is critical.

3. Eligibility

To use our services, you must:

  • Be at least 18 years old
  • Have the legal authority to enter into a binding contract
  • Agree to comply with all applicable laws and regulations

4. Account Registration

You may be required to create an account to access certain features. You are responsible for:

  • Providing accurate information
  • Maintaining the confidentiality of your login credentials
  • All activities under your account

RelayDocs is not liable for unauthorized access unless caused by our own negligence.

5. Acceptable Use

You agree not to use our services to:

  • Violate any laws or regulations (e.g., CAN-SPAM, GDPR, HIPAA, TCPA)
  • Transmit unlawful, harmful, or misleading content
  • Deliver spam or phishing emails
  • Send personal health or financial data without appropriate safeguards
  • Reverse-engineer, disrupt, or interfere with the platform’s functionality

RelayDocs reserves the right to suspend or terminate accounts violating these rules.

6. API Access & Usage

Access to RelayDocs APIs is subject to:

  • Authentication and usage limits defined in your plan
  • Use only for your organization’s internal or client-facing needs
  • No resale or sublicensing unless explicitly authorized in writing

You are responsible for securing your API keys. Abuse or excessive usage may result in throttling or account suspension.

7. Data Privacy and Security

Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

RelayDocs implements industry-standard encryption, role-based access controls, and compliance measures (e.g., HIPAA-awareness, GDPR readiness) to secure data in transit and at rest.

8. Confidentiality

Each party agrees to protect the other’s confidential information. This includes, but is not limited to, customer data, internal business practices, pricing, and trade secrets.

9. Third-Party Services

Our services may integrate with or rely on third-party platforms (e.g., USPS, Twilio, AWS, email delivery networks). We are not responsible for their performance, availability, or actions.

10. Intellectual Property

All content, branding, software, and technology used in connection with the services are owned or licensed by RelayDocs. You may not copy, modify, or create derivative works from any part of the service.

You retain ownership of your uploaded documents and content.

11. Subscription & Payment

If your use of the services is subject to fees:

  • Payments are due as per your contract or subscription tier
  • Late payments may result in service interruption
  • All fees are non-refundable unless otherwise agreed

All billing disputes must be raised within 30 days of the invoice date.

12. Termination

You may terminate your account at any time by notifying us.

RelayDocs may suspend or terminate your access if:

  • You breach these Terms
  • Your account is inactive for an extended period
  • We discontinue the service (with notice)

Upon termination, your data may be deleted after 60 days unless legally required to retain it.

13. Disclaimers

RelayDocs provides the services “as is” and disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee error-free, uninterrupted service or delivery success in every case.

14. Limitation of Liability

To the maximum extent permitted by law, RelayDocs shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, business opportunities, or reputation
  • Any damages exceeding the total fees paid by you in the past 12 months

15. Indemnification

You agree to indemnify and hold harmless RelayDocs from any claims, liabilities, damages, and expenses arising from:

  • Your misuse of the services
  • Violation of these Terms or any law
  • Content you upload, send, or store through our services

16. Modifications to Terms

We may update these Terms from time to time. Changes will be notified via our website or email. Continued use after the effective date indicates your acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws principles.

Any legal disputes shall be resolved in the courts located in Delaware County, PA.
